For international Amazon FBA (Fulfillment by Amazon) sellers, managing global supply chains and cross-border payments can be incredibly complex. Structuring your FBA business through a Hong Kong limited company offers a streamlined solution, providing access to top-tier multi-currency banking and payment gateways like Payoneer and Airwallex.

However, the most significant advantage is the potential to legally eliminate your corporate tax liability. Under Hong Kong's territorial source principle of taxation, Amazon FBA sellers can apply for a 0% tax rate.

This guide breaks down exactly how the Inland Revenue Department (IRD) views the FBA business model and the structural pitfalls you must avoid to protect your offshore tax exemption.

The Amazon FBA Model and Hong Kong Offshore Tax

Hong Kong does not tax companies based on where they are registered; it taxes them based on where their profit-generating activities physically take place.

To determine if your Amazon FBA profits are taxable, the IRD will look at the two most critical components of your trading business: the location where your contracts are concluded and the physical movement of your goods.

In a standard Amazon FBA setup optimized for a Hong Kong offshore claim, the structure operates like this:

  1. You run your Amazon Seller Central account from your home country (e.g., the UK, Canada, or Australia).

  2. You place purchase orders with a manufacturer in Mainland China.

  3. The manufacturer ships the products directly to Amazon FBA warehouses in the United States.

  4. Amazon handles the final fulfillment to the US consumers.

Because the business management, supplier manufacturing, and final customer fulfillment all take place outside of Hong Kong, the profits derived from these sales are not subject to the standard 16.5% Hong Kong profit tax.

The Danger of Hong Kong Preparation Centers

While the standard FBA model fits perfectly within the offshore tax parameters, sellers often make one critical operational mistake that completely destroys their 0% tax eligibility: using a Hong Kong-based FBA preparation center.

Some sellers choose to ship their goods from Mainland China into Hong Kong to have a third-party logistics (3PL) company inspect, bundle, or apply FBA barcodes before forwarding the inventory to the US or Europe.

If your physical goods enter Hong Kong for repackaging or transit storage, the IRD considers this a core profit-generating activity occurring within the territory. This single action will instantly void your offshore claim, rendering your entire profit margin subject to local taxation.

To maintain your offshore status, all prep work and barcoding must be done at the factory level in China or at a 3PL facility located in the destination country.

Required Documentation for Amazon FBA IRD Query

When you submit your Profits Tax Return at the 18-month mark, you must provide conclusive proof that your FBA operations never touched Hong Kong soil. Since Amazon acts as the intermediary for your sales, your documentation must bridge the gap between your supplier and Amazon's warehouses.

Your Chartered Tax Adviser (CTA) will require the following records to build a strong defense for your offshore claim:

  • Supplier Agreements and Purchase Orders: Showing commercial terms negotiated digitally from outside Hong Kong.

  • Direct Shipping Documents: The most crucial piece of evidence is the Bill of Lading or Air Waybill showing the port of loading (e.g., Shenzhen, China) and the port of discharge (e.g., Long Beach, USA).

  • Amazon Seller Central Reports: Standardized Amazon settlement reports, inventory ledgers, and FBA fulfillment reports proving where the goods were stored and sold.

  • Bank Reconciliations: Clear records showing Amazon payouts entering your Hong Kong corporate account and subsequent payments to your overseas suppliers.

Repatriating Your Amazon Payouts Tax-Free

Once you have successfully secured your offshore tax status, your profits will accumulate in your Hong Kong corporate bank account completely tax-free.

Unlike many other jurisdictions that penalize business owners for moving money across borders, Hong Kong imposes absolutely no withholding tax on dividends. This means you can freely distribute your FBA profits to your personal accounts overseas or reinvest the capital into new product lines without any friction or hidden tax leakage in Hong Kong.

Are you ready to structure your Amazon FBA business for maximum tax efficiency?
