Selling Digital Products: Does the Hong Kong Offshore Exemption Apply?

The Hong Kong offshore profit tax exemption is widely known among sellers of physical goods, such as dropshippers and Amazon FBA merchants. But what if your e-commerce business sells nothing physical at all?


If you are a digital nomad selling online courses, software subscriptions (SaaS), ebooks, or digital marketing services, you can still leverage the Hong Kong territorial tax system to achieve a 0% corporate tax rate. However, the criteria the Inland Revenue Department (IRD) uses to assess digital businesses are uniquely different from physical trade.


How the IRD Views Digital Profit Generation


For physical goods, the IRD traces the shipping logistics and contract locations. For digital products, the IRD focuses on digital infrastructure and intellectual property.


To determine if your digital business qualifies for offshore status, the IRD will examine the following core factors:


  1. Server Location and Hosting

    Where are the servers located that host your software, store your digital products, and process your customer data? If your SaaS platform is hosted on AWS servers located in the United States or Europe, this is a strong indicator of offshore operations. If you rent servers physically located within Hong Kong data centers, the IRD may view your profits as locally sourced.


  2. Intellectual Property (IP) Development

    Where were you physically located when you coded the software, wrote the ebook, or recorded the online course? If the intellectual property was developed entirely overseas, the licensing and sales revenue generated from it generally qualify as offshore profits.


  3. Daily Operations and Maintenance

    Who provides customer support, pushes software updates, and runs digital advertising? As long as the directors, independent contractors, and virtual assistants performing these tasks are located outside of Hong Kong, the operations remain offshore.


Documenting a Digital Offshore Claim


Proving an offshore claim for digital products requires a different set of evidence than physical e-commerce. When submitting your audit and tax return, your Chartered Tax Adviser (CTA) will need:


  • Server Lease Agreements: Invoices from AWS, Google Cloud, or Shopify proving the hosting infrastructure is located overseas.

  • Development Proof: Evidence showing where the creators were located during product development, such as passport travel records or overseas residential lease agreements.

  • Contractor Invoices: Receipts from platforms like Upwork or Fiverr showing that customer service and technical maintenance are outsourced to overseas freelancers.
