Hong Kong Travel: Can Directors Visit Without Voiding the Offshore Exemption?

Hong Kong is a global business hub, hosting some of the world's largest sourcing and e-commerce trade shows. For international dropshippers and Amazon FBA sellers operating a Hong Kong corporate entity, attending these events is highly beneficial for business growth.

However, a common fear among overseas directors is that stepping foot in Hong Kong will instantly destroy their Offshore Profit Tax Exemption. The Inland Revenue Department (IRD) looks closely at director travel records during a tax query. This guide clarifies exactly what you can and cannot do while visiting the city.

The IRD Stance on Physical Presence

To qualify for the offshore exemption, your core profit-generating activities must occur outside Hong Kong. The IRD determines this by examining the physical location of the "brain and management" of the company.

When you submit your offshore claim, the IRD will request copies of all directors' travel records to review their Hong Kong immigration entry and exit stamps for the financial year. If you have visited Hong Kong, the tax assessor will issue a Query Letter asking for a detailed itinerary of your trip to determine if business operations were conducted locally.

Permitted Activities: Trade Shows and Tourism

The IRD is pragmatic. They understand that Hong Kong is a transit hub and an exhibition center. You are generally permitted to visit Hong Kong without jeopardizing your offshore tax status if your activities are strictly limited to:

  1. Tourism and Transit: Visiting for a holiday, shopping, or transiting through the Hong Kong International Airport.

  2. Attending Trade Shows: Walking the floor of exhibitions (like the Global Sources trade fair) to view market trends or identify potential products.

  3. Meeting with Professionals: Visiting your Company Secretary, CPA, or Chartered Tax Adviser (CTA) to discuss statutory compliance or sign regulatory government forms.

Prohibited Activities: Contract Execution

The danger zone lies in executing commercial operations. If you engage in the following activities while physically inside Hong Kong, the IRD will deem your business to be operating locally:

  1. Signing Supplier Contracts: If you meet a Chinese manufacturer at a Hong Kong hotel or trade show and physically sign a Purchase Order or supply agreement, the IRD classifies that contract as being "effected in Hong Kong." The profits generated from that specific contract will be taxed at 16.5%.

  2. Concluding Sales: If you meet an international wholesale buyer in Hong Kong and shake hands on a bulk sales deal.

  3. Managing E-commerce Platforms: If you spend two weeks in a Hong Kong hotel actively managing your Shopify dashboard, running ad campaigns, and handling customer support.

How to Protect Your Claim

If you plan to visit Hong Kong, you must maintain strict discipline. Treat the visit purely as a research or administrative trip. Ensure that all final commercial negotiations and digital contract signings are executed only after you have returned to your home country.

Maintain a clear, documented itinerary of your trip to provide to your tax representative during the IRD tax query, so they can proactively defend your travel history to the IRD.
