Uncooperative Suppliers: How to Prove Offshore Sourcing Without Perfect Invoices
The foundation of the Hong Kong Offshore Profit Tax Exemption is documentary proof. The Inland Revenue Department (IRD) must see a clear paper trail proving that your purchase contracts were negotiated outside Hong Kong and that your inventory never entered the territory.
In a perfect world, every supplier provides a meticulously formatted commercial invoice and a Master Bill of Lading. In the real world of e-commerce, dropshipping, and private sourcing agents, suppliers are often uncooperative.
Many Chinese suppliers operate through informal channels. They might request payments via WeChat, provide a simple Excel sheet instead of an invoice, or refuse to issue formal export documents. If you cannot provide standard commercial proof to your CPA, how do you survive an IRD tax query?
The Risk of Missing Purchase Documents
If you cannot substantiate your Cost of Goods Sold (COGS), your Certified Public Accountant (CPA) cannot sign off on your financial statements and they probably issue a "Qualified" audit report.
When the IRD sees a qualified audit, they would challenge your offshore tax claim. The assessor may assume you are inflating your costs to hide taxable profits, resulting in an aggressive tax query and a 16.5% corporate tax assessment.
Building Alternative Forensic Evidence
If your suppliers refuse to cooperate, you must build an alternative defense structure before your annual tax filing is due. Some alternative techniques to reconstruct your supply chain reality:
Digital Communication Logs
If you do not have a formal Purchase Order, use your digital negotiation history. Save all email threads, Alibaba Message Center transcripts, or WeChat logs where pricing and quantities were agreed upon. Timestamp these logs against your passport travel records to prove the contract was effected while you were overseas.
Tracing the Funds
Match every dollar leaving your Hong Kong bank account to a specific supplier. If the supplier refuses to issue a receipt, use your bank remittance advices, Airwallex transfer logs, and PayPal settlement reports to prove the capital left your control and entered the supplier's overseas account.
Platform Fulfillment Data
If traditional logistics documents are missing, export the backend fulfillment data directly from your Shopify or Amazon Seller Central dashboard. By matching the customer tracking numbers to the supplier payment dates, construct a logical, unbroken chain of events that satisfies the IRD's requirement for commercial substance.
Do not let uncooperative suppliers destroy your offshore tax claim.
